Terms of Service Agreement - BuzzBench

1. Definitions

• "Affiliate" means any entity controlling, controlled by, or under common control
• "Confidential Information" includes non-public business and technical information
• "Documentation" refers to technical materials describing Services functionality

2. License Grants

• Non-exclusive, non-transferable license to access Services
• Usage limited to authorized users and internal business purposes
• All intellectual property rights remain with BuzzBench

3. Prohibited Uses

Customer shall not:

• Reverse engineer, decompile, or disassemble any software components
• Use Services to benchmark competitive offerings
• Exceed allocated capacity metrics without prior authorization
• Process illegal or unauthorized third-party data

4. Data Handling

• Customer retains ownership of all test data and results
• Aggregated usage data may be used for service optimization
• Data retention period: 12 months upon request of deletion
• AI analysis conducted pseudonymously for pattern detection

5. Payment Obligations

• Subscription fees automatically renew unless canceled
• Customer responsible for all applicable taxes
• Audit rights for verification of license compliance

6. Termination

• Either party may terminate for material breach with 30-day notice
• Immediate termination for:
  • Violations of Section 3
  • Insolvency proceedings
  • Persistent API abuse
• Surviving sections: 4 (Data), 7 (Liability), 8 (Indemnification)

7. Liability Limitations

• No consequential or indirect damages will be compensated for. This service is provided "As is", in the exception of SLA agreements.
